II. Revenue Rewards Program

2. Upside NFT promotes the “Sharing Economy”.
   
3. We reward partners who successfully create, curate, list, promote and sell their products in our marketplace.
   
4. We do everything possible to make the user experience enjoyable whether you are a creator, curator or a collector.
   
5. Our commitment to you is to continually improve the functionality of the UPS application to illustrate our value to the community.
   
6. As such, we are excited to share the Upside NFT Revenue Rewards & Referral Loyalty [“Upside ShareDrop”] program.
   
7. It has been developed to cater specifically to NFT innovators and their supporters.
   
8. In particular, we reward users who add value to the Upside NFT community with their continued support.
   
9. Without you, we cannot achieve the lofty goal of providing the quality and service necessary to fulfill your dreams, both creatively and financially.
   

III. Revenue Rewards Loyalty Program Details

1. Revenue Reward UPS NFTs (tokens) are distributed proportionally by Collection to existing Collection NFT holders in the Top 50+ NFT Collections. (see Table 1)
   
2. Each eligible NFT is granted a maximum of one (1) revenue reward and one (1) referral reward.
3. We only allow a restricted number of NFTs from each Top 50+ Collection to participate in the revenue share program. (see Table 2)
   
4. By holding these UPS NFTs you will participate in daily revenue rewards from platform fees generated in the Upside NFT marketplace.
   
5. Upside Reward NFTs are distributed to Collection NFT holders in quantities reflecting the relative Trade Volume (in ETH) of each of the Top 50+ NFT Collections for the past 90 days.
   
6. A maximum of 10% of all ETH Platform Fees collected from platform trades in the Upside NFT marketplace are distributed to eligible Upside NFT holders every 24 hours.
   
7. A maximum of 500M UPS are UPS-for-grabs in this limited time limited participation ShareDrop, divided 450M to Top 50+ Collection NFT Listings (90%) and 50M (10%) for Referral Rewards.
   
8. Trading Rewards not taken up will be burnt and the Revenue Distribution proportions will be adjusted according to the formula:
       % Revenue Distribution = % UPS Tokens Subscribed x 10%
   
9. The UPS tokens are distributed in the following manner:
   
   1. One time and proportional to the last 90 days Traded Volume in ETH for each Top 50+ Collection. If a Collection is responsible for 15% of the ETH volume, UPS tokens representing 15% of the Rewards (including Referrals) are allocated to that Collection. See Table 1.
      
   2. Rewards are distributed in WETH, calculated off chain and distributed via Smart Contract. The calculations are posted and are entirely transparent.
      
   3. WETH Rewards are released [subject to ETH gas fee minimums] in a linear format.
      
   4. Fractional fees may be “banked” by the user.
      
   5. Upside NFTs for this program are transferable, allowing you to sell the cash flow.
      
   6. The Revenue Rewards distribution runs for a minimum of three [3] years and is extensible.
      
   7. Sales less than 0.01 ETH may not be eligible for revenue distribution.
      

IV. Important Dates

Our Official Launch Date is January 2, 2023.
The Revenue Rewards Loyalty Program begins on our official launch date January 2, 2023 and runs for 60 days inclusive.
Platform fees will begin on or about April 2, 2023. At that time we will begin the daily revenue distribution for all eligible token holders.

V. How to Participate

Upside wishes to create a rich NFT ecosystem filled with opportunity and creativity!

You can receive rewards in two (2) ways.

1. List your Top 50+ Collection NFT(s) on UpsideNFT.io. (See Table 1) for eligible collections.
   
2. Referrals - successfully refer a Top 50+ Collection NFT holder to list and receive 10% of the revenue reward.
   
   Pro Tip: Don't game the ShareDrop program. You will be in violation of the offer and will forfeit your UPS if you attempt to refer yourself. Wallet tracking has been implemented.
   

This offer is exclusive to the Top 50+ NFT Collection holders and their referral contacts.

In order to receive your UPS, you must carefully follow the Upside NFT Revenue Reward Loyalty Program rules:

We have already imported your Top 50+ Collection listing data to the Upside Marketplace. As such the process is fairly simple.
In order to qualify, you must simply join our groups and list your NFT:

The Upside ShareDrop campaign will run for 60 days inclusive. The revenue distribution will begin following our “No Platform Fees” promotional period on or about April 2, 2023.

VI. The Process

1. The moment a user lists their NFT on Upside NFT, the wheels start turning.
   
2. Upside NFT computes the number of UPS tokens the Listing receives immediately based on Tables 3, 4 and 5.
   
3. The tokens that have been awarded are revealed in the Upside NFT Rewards page.
   
4. The tokens are allocated and locked until the marketplace begins accepting platform fees (see Important Dates).
   
5. At that time, the tokens can be:
   
   1. Unlocked
   2. Exchanged
   3. Eligible to receive WETH Revenue Rewards
      
6. In order to receive your accumulated WETH rewards, you must unlock (claim) your tokens from the rewards page. In no way, does this impact the accrued balance.
   
7. Once unlocked, you can claim and withdraw WETH as it is distributed.
   
8. If you do not unlock your tokens, don’t worry. Your accrued benefits remain available to you.
   
9. Rewards are stored to our smart contracts. You simply pay the gas fee to claim the WETH.
   
10. Any unclaimed rewards will accrue until the program Time Out (Expiration) at which time the remaining rewards will be held for a period of 6 Months.
    

VII. Maximum Number of Eligible UPS Revenue Reward Tokens by Collection

Each collection will have a limited volume of UPS allocated to it. Table 1 reflects the maximum eligible UPS tokens by Collection. Up to 450M (90%) are awarded to the eligible and successful NFT holders and up to 50M (10%) to successful referral contacts.

VIII. Maximum Number of Eligible NFTs by Collection

Each Collection has a limited number of spots. Get your UPS before they are no longer available to your collection. Table 2 reflects the maximum number of eligible NFTs by Collection:

Each Collection NFT can receive a maximum number of UPS, calculated using our proprietary methodology. Table 3 reflects the maximum number of UPS available per Collection NFT:

X. Calculating your Tokens Part 1 | Listing Price

To calculate your UPS tokens by listing, Upside NFT has devised a very simple structure.

1. We compile your UPS Listing Price (LP), Collection Floor Price (CFP) data and your OpenSea Listing Price (OS).
2. We compare your NFT listing price on Upside against the collection floor price to obtain Value 1 (see Table 4), and we compare your NFT listing price against OpenSea listing price to obtain Value 2 (see Table 4)
3. Finally, we add Value 1 and Value 2 to create the Total Value for each listing, used in Table 5.

XI. Calculating your Tokens Part 2 | Total Value Multiplier

The Total Value derived from Table 4 is used in Table 5 below.

1. Table 5 reflects the percentage of UPS tokens you will receive based upon your specific NFT Listing Data i.e. its proximity to the Collection Floor Price CFP and its proximity to the OpenSea Listing Price for each Collection NFT.
2. In order to calculate your expected UPS token quantity, Upside NFT applies your specific Total Value for each Collection NFT to determine the Percentage Multiplier in Table 5.

XII. Calculating your Tokens | Example

1. Assume an eligible BAYC Collection NFT is listed at 12.5% greater than the Collection Floor Price CFP and 1% less than the OpenSea List Price OS.
2. From Table 4, Value 1 = 0.75 + Value 2 = 0.5. Total Value = 1.25.
3. From Table 5, the UPS Collection Listing receives 70% of the Maximum Revenue Reward.
4. From Table 3, the Maximum Reward for a BAYC Listing = 76,172 UPS.
5. Therefore, the UPS Revenue Reward for this Upside BAYC Listing = 53320 UPS.
6. In this case, an eligible referral contact could receive 5,332 UPS.

XIII. Calculating your Revenue Reward

1. Each day, platform transactions generate revenue rewards for all UPS Revenue Reward Token holders.

2. Rewards are calculated based on the actual paid fee for the transaction.

3. Each day, platform fees are totaled.

4. Up to ten percent (10%) of the Platform Fees are distributed by smart contract using the formula:

   WETH Reward = (User's Total UPS Tokens X % of WETH Platform Fees) / Total UPS (in ShareDrop)

   If a User holds 2M UPS tokens on average daily platform fees of 300 ETH at 10% Revenue Share assuming a total float 500M UPS tokens, then the user is entitled to 0.12 ETH each and every day.

XIV. Maximizing Your Reward

Remember the higher the Table 5 Multiplier (ie. the more competitive the listing price), the greater your reward. Be sure to list within the guidelines to maximize your reward.

Pro Tip: Each NFT is only eligible for one reward and one third party referral so remember to make your original list price competitive the first time.

XV. Eligible Returns for UPS

Each UPS token participates equally in the Upside Revenue stream for the full three-year period from the time that Upside NFT begins to receive platform fees. Platform fees are posted on our website.

The daily fees are tabulated off-chain and distributed via Smart Contract.

For transparency, all data necessary to calculate is readily available on the UpsideNFT.io/rewards website.

Pro Tip: UPS tokens are fully transferable.

XVI. Referral Rewards

Don’t forget to tell your friends and your peers. A referral program is comming soon that will reward you with UPS tokens for referring blue-chip NFT holders who list their NFT!

Referral contacts will receive 10% of the eligible Top 50+ NFT Token Reward.

By referring a user who actively lists their eligible Collection NFT on the Upside NFT Marketplace, you will receive a referral bonus that participates in the Upside NFT Revenue Rewards Program.

XVII. Termination of the Revenue Rewards Program

Upon termination of the program after 3 years, Upside NFT is preparing a transitional benefit for the holders of the UPS tokens.

We anticipate that this will be directly linked to the level of active participation in the Upside ecosystem.

This benefit may include club memberships, affiliate programs, special offers (gaming and utility), “front-of-the-line” access, special Web3 offers, NFT giveaways etc.
